What was announced

Two linked transactions, one combined future

Two events have been completed simultaneously, laying the foundation for a unified Application Delivery platform spanning on-premises, cloud, managed networks, and SaaS.

Total Uptime

+ Edgenexus

One combined business, backed by a stable, well-funded, long-term owner.

What changes for you?

The short answer: nothing that disrupts you. Business as usual today, same contracts, same contacts, same billing, with more investment, more people, and a broader product range coming.

Contracts, billing & services

No. Your existing contract remains in place and unchanged. There is no action required from you, and the terms you agreed to continue to apply.

No. The legal entity you currently trade with does not change. If you contract with Total Uptime, you continue to contract with Total Uptime; if you contract with Edgenexus Limited, you continue to contract with Edgenexus Limited. Your commercial relationship continues exactly as before.

No. The billing entity is not changing. Invoices, payment terms, currency and the way you are billed all stay the same. You do not need to update any payment or supplier details.

No, not in any way that disrupts you. The products and services you use today continue exactly as they are. Over time you gain access to a broader portfolio and new capabilities, but nothing you rely on today is being removed or degraded.

Same teams, strengthened leadership.

No one is leaving as a result of these transactions. The teams you’ve worked with remain in place, and we’re hiring.

CEO, Combined Business

Greg Howett

Founder and former CEO of Edgenexus, Greg leads the combined business as it builds toward a unified Application Delivery platform.

CTO, Combined Business

Jonathan Hoppe

Founder and former CEO of Total Uptime, Jonathan leads technology strategy, innovation and platform integration as Chief Technology Officer.

No. No one is leaving as a result of these transactions. The teams you have worked with, at both Total Uptime and Edgenexus,  remain in place.

We are hiring. This is about growth and investment, not cost-cutting. We are adding new people across the business to accelerate our roadmap and strengthen support.

Yes. Both businesses continue to operate, both brands continue, and both teams continue. Over time the two organisations are being brought together into one unified platform, but this is an integration built on continuity, not a teardown.

No, and this is an important point. Our new owners are long-term investors. This is a ‘buy and hold’ investment, not a deal designed to flip the business or strip it for parts. Their model is to invest in and grow the businesses they back over the long term — which is exactly why we are hiring and investing rather than cutting.

Stable, well-funded, long-term backers.

This is a buy-and-hold investment backed by a family office with a decades-long track record. Their intent is to grow the business, not package it for resale.

Total Uptime is part of the Magpie Software Group, a division of Emergence Software. Emergence Technology Group is a technology investment and operating organisation focused on building and growing software, infrastructure and technology businesses through long-term investment, operational expertise and support. Emergence is backed by The Pritzker Organization, the family behind Hyatt Hotels and a long history of successful long-term ventures.

Yes. The group behind the combined business is well-funded and financially stable. This provides long-term security and the resources to invest in products, people and support,  and gives our customers and partners added confidence in our ability to deliver for years to come.

No. This is a long-term, buy-and-hold investment. The owners are not looking to package the business up to sell it on. Their intent is to invest in it and grow it over the long term, both organically and through further strategic acquisitions of complementary technologies.

More secure. You have the same trusted Total Uptime and Edgenexus teams and technology, now backed by a larger, well-funded, stable group with its own global infrastructure. That combination reduces risk and increases our capacity to support and invest in you.

One unified Application Delivery platform

For more than twenty years, Application Delivery has been fragmented across on-premises load balancers, cloud CDN, DNS, and security services. Together, we can unify all of it.

High-Availability DNS

Delivered from independent global infrastructure with an exceptional fifteen-year uptime record.

ADC & Load Balancing

Advanced Application Delivery Controllers, deployable on bare metal, hypervisors, public cloud, or hybrid.

Web Application Firewall

WAF protection available as an on-premises appliance and as a managed cloud service (WAFaaS).

Global Server Load Balancing

Total Uptime LLC has been acquired by the Magpie Software Group, a division of Emergence Software, backed by The Pritzker Organization , the family behind Hyatt Hotels and a long, proven track record of long-term investment.

DDoS Mitigation

Multi-layer DDoS protection backed by Total Uptime’s own independent global infrastructure.

Cloud & Hybrid Networking

Multi-cloud networking, distributed VPN, CDN, and edge server platforms, managed and as-a-service.

Leveraging Total Uptime’s low-latency global infrastructure, the combined business plans to launch: ADC-as-a-Service (ADCaaS), Web Application Firewall as a Service (WAFaaS), Global Server Load Balancing as a Service (GSLBaaS), advanced CDN services, distributed cloud VPN, multi-cloud networking, and edge computing and edge server platforms. All services will be accessible through a unified management platform, REST APIs and modern AI-driven automation frameworks.

Yes. The products you use today continue to be supported and developed. The new investment accelerates the roadmap rather than replacing what exists.

Yes. Edgenexus solutions continue to deploy on bare metal, across all major hypervisors, in private and public clouds, and in hybrid environments. A key principle of the combined platform is that organisations keep ownership and control of their application delivery infrastructure regardless of where applications are deployed.

The combined offering is designed to be a strong alternative to cloud-only solutions such as Cloudflare — uniquely spanning on-premises infrastructure through to cloud-based SaaS, with the transparency, control and accountability that modern businesses and governments increasingly require, plus a channel-led commercial model and strong support.

More to sell, stronger commercial engagement.

We remain firmly committed to a channel-led model. Partners have been central to our success and remain central to our growth strategy. The direction of travel is toward more opportunity, not less.

Yes, absolutely. We remain committed to a channel-led model. Partners and distributors have been central to our success and remain central to our growth strategy. The combined business sees significant opportunity to give partners more to sell, better support and stronger commercial engagement.

No immediate change. The legal entity you trade with is unchanged, and your existing commercial relationship, points of contact and support arrangements remain in place. The direction of travel is toward more opportunity and attractive margins, not less.

Effective immediately, the expanded Edgenexus product portfolio (ADC, Load Balancing, WAF, GSLB) — deployable on bare metal, across major hypervisors and in public cloud — is available to you. This significantly broadens what you can offer your customers, with the same channel-friendly commercial approach and additional training and support available.

Your relationship is unchanged, and you gain access to Total Uptime’s DNS, DDoS, CDN, cloud networking and managed services, plus the new as-a-Service offerings, to sell alongside the Edgenexus portfolio you already represent.

An expanded portfolio to sell — combining Edgenexus ADC, Load Balancing, WAF and GSLB with Total Uptime DNS, DDoS, CDN and cloud networking, plus the new as-a-Service offerings. This gives partners a compelling alternative to solutions such as Cloudflare, with better support, stronger commercial engagement and attractive margin opportunities.
